The red tape that is associated with incorporating in a different state can become pretty time-consuming and expensive, although for asset-protection purposes can still be beneficial.  For instance, opening a bank account with the recent anti-money laundering provisions banks are required to comply with.  These kinds of issues are no big deal if you're a decent-sized corporation with a staff attorney, or even if you're a wealthy family with a corporate investment vehicle, but for a smaller start-up business or an individual looking to operate through an LLC or a corporation, incorporating in a different state for tax purposes most times ends up costing more than it saves.
